Terms & Conditions
1. Definitions
"Service" = the production of AI-generated video and image content by ESI Quality SRL through the Namia brand (thisisnamia.com). "Client" = the natural or legal person who places an order. "Brief" = the specification document approved by the client before production. "Deliverable" = the final video or image files delivered according to the brief.
2. Ordering services
- The order becomes binding after the brief is confirmed and the advance is paid (40-50% of the total value).
- Video packages (Pack 20, Pack 40, Pack 60) are paid in full, in advance. The videos in a package never expire and can be ordered at any time, one or several at once. A package is not a subscription: it does not renew automatically and has no minimum period.
- The approved written brief is the only reference document for production.
- Changes requested after brief approval may generate additional costs.
- Delivery timelines start from the moment the script is technically confirmed, not from the moment the order is placed.
- Final files are delivered through a private Google Drive link, available for 30 days after delivery. After that, the files may be deleted, so please download and keep them.
- You can cancel a video package at any time. From the amount paid we deduct the videos already delivered or in production, at their individual price shown on the site on the order date, and refund the difference within 5–7 business days through the same payment method. If the value of the videos used exceeds the package price, nothing is refunded and you pay nothing extra.
3. Copyright and portfolio rights
- Upon final delivery and full invoice payment, the client receives commercial rights over the final result delivered for the approved project. For prepaid packages, commercial rights are granted for each video upon its delivery.
- ESI Quality SRL reserves the right to display the final work in its portfolio, case studies or presentations, unless otherwise agreed in writing.
- The client may not sublicense or resell the materials as a standalone product without written agreement.
- The materials may be used in paid ads (Meta, Google, TikTok, YouTube) without restrictions, subject to applicable disclosure rules.
4. AI Marking under the EU AI Act (Art. 50)
- Mandatory Labeling: To comply with European legislation applicable from August 2026, all video and audio materials generated by Namia will include a subtle visible label (watermark) or clear recognition elements signaling the AI-generated nature of the content.
- Traceability and Metadata: We internally embed standardized markers within the metadata of every delivered file to technically identify its synthetic origin and prevent illicit deepfakes.
- Client Obligations: When using the materials in media campaigns or on personal social accounts, the Client must keep the video watermark visible or add clear disclosure text in the material's description (e.g., "Video generated using artificial intelligence"). Removing labels without ensuring another explicit form of transparency transfers all legal liability to the Client.
5. Limitation of liability and final review
- AI-generated results may contain imperfections, including visual artefacts, lip-sync inconsistencies or other synthetic-generation anomalies.
- The client is responsible for the final review and approval of the deliverable before publication or paid distribution.
- ESI Quality SRL does not guarantee specific commercial results (conversion rates, number of clients, sales), and maximum liability is limited to the contract value of the respective project.
6. Ethical use and prohibited content
- The services may not be used to create defamatory content, unlawful deepfakes, fraudulent identity content or materials that incite hatred, violence or discrimination.
- The client is solely responsible for the lawfulness of the brief, materials provided and the final use of the deliverables.
- ESI Quality SRL may refuse, pause or terminate any project that raises a reasonable legal, ethical or reputational risk.
7. Confidentiality
- For the Digital Clone service, we use your image and voice exclusively for the videos you order, based on your explicit consent (written agreement by email and the consent video required by the cloning platform). Details in the GDPR Policy.
- All materials, briefs and information provided by the client are treated as confidential information and are not disclosed to third parties.
- The confidentiality obligation remains in force for a period of 3 years from project completion.
8. Force majeure
ESI Quality SRL is not responsible for delays or non-performance caused by events outside its reasonable control (natural disasters, major infrastructure failures, sudden legislative changes). In such situations, timelines are extended proportionally and the client is notified in writing.
9. Invoicing and payments
- The advance invoice is issued when the order is confirmed. The final invoice is issued when the approved draft is delivered.
- Payment is made by bank transfer or card. All prices are expressed in EUR or RON, excluding VAT (micro-enterprise regime).
- Delay of the final payment by more than 14 calendar days may suspend delivery of the final files.
10. Governing law and jurisdiction
These Terms & Conditions are governed by Romanian law. Any dispute that cannot be settled amicably will be subject to the exclusive jurisdiction of the competent courts in Romania.
